General Terms and Conditions Wibo Lighting

These general terms and conditions apply to all offers, orders and agreements of Wibo B.V., trading under the name Wibo Lighting.

Article 1 – Definitions

In these general terms and conditions, the following definitions apply:

Wibo Lighting / we / us: Wibo B.V., trading under the name Wibo Lighting, the company that offers and sells products remotely to customers.
Customer / you: the natural person or legal entity that enters into an agreement with Wibo Lighting.
Consumer: the natural person who is not acting for purposes relating to a trade, business, craft or profession.
Business customer: a customer acting in the course of a profession or business.
Dealer: a business customer who has been accepted by Wibo Lighting as an official dealer and can order products in that capacity.
Agreement: the agreement between Wibo Lighting and the customer for the purchase of products.
Products: all items offered by Wibo Lighting, including LED lighting, accessories and related products.
Right of withdrawal: the statutory right of a consumer to dissolve the agreement without stating reasons within the cooling-off period.
Cooling-off period: the period within which a consumer can exercise their right of withdrawal.
Model withdrawal form: the form that a consumer can use to indicate that they wish to exercise their right of withdrawal.

Article 3 – Applicability

3.1 These general terms and conditions apply to every offer from Wibo Lighting and to every agreement concluded between Wibo Lighting and the customer.

3.2 Before an agreement is concluded, these general terms and conditions will be made available to the customer in a clear manner.

3.3 The customer must be able to save, download or print the general terms and conditions.

3.4 Deviations from these general terms and conditions are only valid if confirmed in writing by Wibo Lighting.

3.5 If, in addition to these general terms and conditions, additional product, dealer or promotional conditions apply, these will be clearly stated. In case of conflict, for consumers, the provision that is most favorable to the consumer applies.

Article 4 – Business sales and dealership

4.1 Wibo Lighting primarily focuses on business applications and professional users.

4.2 Business customers can only order products after they have been accepted by Wibo Lighting as an official dealer.

4.3 Wibo Lighting reserves the right to refuse a dealership application without stating reasons.

4.4 A dealer is responsible for the accuracy of the company details provided, including company name, address, Chamber of Commerce number, VAT number and contact details.

4.5 Wibo Lighting may impose additional conditions on the dealership, including minimum purchase, payment terms, brand use, sales channels and compliance with product information.

4.6 The dealership does not grant the dealer an exclusive right of sale, unless otherwise agreed in writing.

Article 5 – The offer

5.1 Wibo Lighting describes the products offered as completely and accurately as possible.

5.2 Images, specifications, colors, dimensions, light output, color temperatures, technical data and product information are displayed as truthfully as possible.

5.3 Minor deviations in color, finish, dimensions or specifications may occur and do not give the right to dissolution or compensation, unless the product deviates substantially from what was agreed upon.

5.4 If an offer is temporarily valid or subject to specific conditions, this will be clearly stated with the offer.

5.5 Wibo Lighting is not bound by obvious errors or mistakes in the offer, such as clear pricing, type, stock or spelling errors.

Article 6 – Conclusion of the agreement

6.1 The agreement is concluded as soon as the customer accepts Wibo Lighting's offer and meets the conditions set for it.

6.2 Wibo Lighting may refuse orders or impose additional conditions on the execution of an order.

6.3 After receiving the order, Wibo Lighting will confirm the order as soon as possible by email.

6.4 Wibo Lighting takes appropriate technical and organizational measures to secure electronic orders, payments and personal data.

6.5 At the latest upon delivery, the customer will receive the relevant information about the order, including Wibo Lighting's contact details, product information, warranty information, payment and delivery information and, if applicable, information about the right of withdrawal.

Article 7 – Prices

7.1 All prices are stated in euros.

7.2 Unless expressly stated otherwise, prices are exclusive of VAT for business customers and inclusive of VAT for consumers.

7.3 Any shipping costs, administration costs, installation costs or other additional costs will be clearly stated before the customer places the order.

7.4 Wibo Lighting may change prices. For already confirmed orders, the price agreed at the time of ordering applies, unless there is an obvious error.

7.5 Price changes due to changes in VAT rates, raw material prices, transport costs, import duties or other levies may be passed on insofar as legally permitted.

Article 8 – Payment

8.1 The customer pays for the order via the payment methods offered by Wibo Lighting or as agreed in writing.

8.2 Wibo Lighting may require advance payment.

8.3 For business customers, different payment terms may apply, provided they are agreed in writing.

8.4 The customer is obliged to report inaccuracies in payment data directly to Wibo Lighting.

8.5 If the customer does not pay on time, the customer is legally in default, unless a notice of default is required by law.

8.6 In case of late payment, Wibo Lighting may charge statutory interest, extrajudicial collection costs and reasonable administration costs.

8.7 For consumers, they will first receive a payment reminder with a 14-day period to still pay, before collection costs are charged.

8.8 Wibo Lighting may suspend the delivery of products as long as payment is outstanding.

Article 9 – Delivery

9.1 Wibo Lighting will exercise the greatest possible care when processing and delivering orders.

9.2 Delivery takes place at the address specified by the customer when placing the order.

9.3 The stated delivery times are indicative, unless a fixed delivery period has been expressly agreed upon in writing.

9.4 Wibo Lighting strives to deliver orders as quickly as possible.

9.5 For consumers, delivery takes place within 30 days at the latest, unless a different delivery period has been agreed upon.

9.6 If an order is delayed or cannot be delivered in full, Wibo Lighting will inform the customer as soon as possible.

9.7 Exceeding an indicative delivery time does not entitle the business customer to compensation or dissolution, unless otherwise agreed in writing.

9.8 The risk of damage or loss of the product passes to the consumer as soon as the product has been delivered to the consumer or a third party designated by the consumer.

9.9 For business customers, the risk passes at the moment the products are transferred by Wibo Lighting to the carrier, unless otherwise agreed in writing.

Article 10 – Right of withdrawal for consumers

10.1 This article applies exclusively to consumers.

10.2 The consumer has the right to withdraw from a distance agreement within 14 days after receipt of the product without stating reasons.

10.3 After withdrawal, the consumer has another 14 days to return the product.

10.4 When the consumer exercises their right of withdrawal, the consumer will receive the full purchase amount, including the standard shipping costs for the outward shipment, back.

10.5 The costs for returning the product are for the account of the consumer, unless Wibo Lighting indicates otherwise.

10.6 The consumer is obliged to handle the product and packaging carefully. The product may only be unpacked or used to the extent necessary to determine the nature, characteristics and functioning of the product.

10.7 If the product is damaged or has been used more than necessary to assess it, Wibo Lighting may charge a depreciation in value.

10.8 The product must, if reasonably possible, be returned complete, undamaged, with all supplied accessories and in the original packaging.

Article 11 – Exercising the right of withdrawal

11.1 The consumer can exercise the right of withdrawal by informing Wibo Lighting unequivocally within the cooling-off period, for example by email or via the model withdrawal form.

11.2 The consumer must return the product within 14 days of the withdrawal notification to:

11.3 The risk and burden of proof for timely and correct return lie with the consumer. Wibo Lighting therefore advises using a shipping method with track & trace.

11.4 Simply returning a product without a clear withdrawal notification is insufficient to dissolve the agreement.

Article 12 – Refund upon withdrawal

12.1 Wibo Lighting will confirm receipt of a withdrawal notification as soon as possible by email.

12.2 Wibo Lighting will refund the amount paid by the consumer, including any standard shipping costs for the outward shipment, within 14 days of the withdrawal notification.

12.3 Wibo Lighting may wait to refund until the product has been received or until the consumer has demonstrated that the product has been returned.

12.4 The refund will be made using the same payment method as used by the consumer, unless the consumer agrees to a different payment method.

12.5 If the consumer has chosen a more expensive shipping method than the cheapest standard delivery, Wibo Lighting is not obliged to refund the additional costs.

Article 13 – Exclusion of the right of withdrawal

13.1 Wibo Lighting may exclude the right of withdrawal for products for which this is legally permitted, provided this is clearly stated before purchase.

13.2 The right of withdrawal may, among other things, be excluded for:
a. products manufactured according to the customer's specifications;
b. products that are clearly personal in nature;
c. products that, after delivery, are irrevocably mixed with other products due to their nature;
d. sealed products that are not suitable for return for reasons of health protection or hygiene and whose seal has been broken;
e. products that spoil quickly or have a limited shelf life;
f. other products for which exclusion of the right of withdrawal is legally permitted.

13.3 Business customers do not have a statutory right of withdrawal, unless otherwise agreed in writing.

Article 14 – Returns for business customers

14.1 Business returns will only be accepted after prior written consent from Wibo Lighting.

14.2 Products that have been specially ordered, custom-made, used, damaged or are no longer in their original packaging may be refused.

14.3 Any return costs for business customers are for the account of the business customer, unless otherwise agreed in writing.

14.4 Wibo Lighting may charge administration costs, repackaging costs or depreciation in value for business returns.

Article 15 – Warranty and conformity

15.1 Wibo Lighting guarantees that the products comply with the agreement, the stated specifications and the reasonable requirements of soundness and usability.

15.2 Consumers are entitled to the statutory warranty. This means that a product must do what the consumer can reasonably expect from it.

15.3 For business customers, the warranty applies as stated with the product, in the offer, on the invoice, or in additional warranty conditions.

15.4 Any manufacturer's warranty, commercial warranty, or additional warranty does not affect the legal rights of consumers.

15.5 Warranty does not apply to damage caused by:
incorrect installation, improper use, normal wear and tear, insufficient maintenance, self-modifications, use contrary to instructions, external influences, moisture, fire, drop or impact damage, power surges, lightning strikes or application in an unsuitable environment.

15.6 The customer must report a defect to Wibo Lighting as soon as possible after discovery.

15.7 Wibo Lighting may, in the case of a valid warranty claim, choose repair, replacement, or credit.

Article 16 – Installation and application

16.1 Wibo Lighting products must be installed and used in accordance with the provided instructions, technical specifications, and applicable safety regulations.

16.2 Electrical products must, if required, be connected by a qualified professional or certified installer.

16.3 Wibo Lighting is not liable for damage resulting from incorrect installation, improper use, incorrect connection, or application outside the specified specifications.

16.4 The customer is responsible for assessing whether a product is suitable for the intended application, unless Wibo Lighting has expressly provided written advice on this.

Article 17 – Complaints

17.1 Complaints about products, delivery, or services must be reported fully and clearly to Wibo Lighting within a reasonable period after discovery.

17.2 A report within 7 days of discovery is in any case considered timely.

17.3 Wibo Lighting will respond to complaints within 14 days of receipt.

17.4 If a complaint requires more time, the customer will receive an acknowledgement of receipt within 14 days with an indication of when a substantive response will follow.

17.5 If a complaint is justified, Wibo Lighting will, at its discretion, repair, replace, credit the product, or offer another suitable solution.

17.6 A complaint does not suspend the customer's payment obligation, unless Wibo Lighting confirms otherwise in writing.

Article 18 – Liability

18.1 Wibo Lighting is not liable for damages arising from the customer providing incorrect or incomplete information.

18.2 Wibo Lighting is not liable for damage due to incorrect use, incorrect assembly, incorrect installation, or unsuitable application of products.

18.3 Wibo Lighting is not liable for indirect damages, consequential damages, business damages, loss of turnover, loss of profit, missed savings, or damages due to business interruption, to the extent permitted by law.

18.4 To the extent permitted by law, Wibo Lighting's liability is limited to the invoice amount of the product to which the liability relates.

18.5 This limitation does not apply in cases of intent, deliberate recklessness, or where limitation of liability is not legally permissible.

Article 19 – Retention of title

19.1 All delivered products remain the property of Wibo Lighting until the customer has fully paid all due amounts.

19.2 The customer may not pledge or encumber products subject to retention of title in any other way.

19.3 Business customers may resell products within their normal course of business, unless Wibo Lighting has indicated otherwise in writing.

Article 20 – Force majeure

20.1 Wibo Lighting is not obliged to fulfil any obligation if it is prevented from doing so by force majeure.

20.2 Force majeure includes, but is not limited to: disruptions at suppliers or transporters, strikes, fire, extreme weather conditions, government measures, pandemics, import or export restrictions, raw material shortages, power outages, internet disruptions, and other circumstances over which Wibo Lighting has no reasonable control.

20.3 If the force majeure situation lasts longer than 30 days, both the customer and Wibo Lighting may dissolve the agreement for the part that has not yet been performed.

Article 21 – Intellectual property and brand usage

21.1 All texts, images, logos, product photos, technical documentation, brand names, and other expressions of Wibo Lighting remain the property of Wibo Lighting or its licensors.

21.2 Customers and dealers are not permitted to use, copy, or modify Wibo Lighting material without prior written permission, unless this is necessary for the sale of Wibo Lighting products within the permitted dealership.

21.3 Dealers may use the name and brand Wibo Lighting only in a manner consistent with the professional image of the brand.

21.4 Wibo Lighting may give instructions regarding the use of brand names, logos, product information, and images. The dealer must follow these instructions.

Article 22 – Privacy

22.1 Wibo Lighting processes personal data of customers in accordance with applicable privacy legislation.

22.2 Wibo Lighting's privacy statement specifies which personal data is processed, for what purposes, and what rights the customer has.

22.3 The privacy statement is available on Wibo Lighting's website.

Article 23 – Applicable law and disputes

23.1 Dutch law applies to all offers, orders, and agreements of Wibo Lighting.

23.2 Disputes will preferably first be resolved through mutual consultation.

23.3 If no solution is reached, disputes will be submitted to the competent Dutch court.

23.4 For business customers, to the extent permitted by law, the court in the district where Wibo Lighting is located has jurisdiction.

23.5 For consumers, they always retain the protection of the mandatory legal provisions applicable to them.

Article 24 – Amendment of these general terms and conditions

24.1 Wibo Lighting may amend these general terms and conditions.

24.2 Amendments only apply after they have been clearly published.

24.3 For ongoing agreements, amendments may not be applied to the detriment of consumers, unless the consumer agrees or the amendment is legally mandatory.
