General Terms and Conditions Wibo Lighting

These general terms and conditions apply to all offers, orders, and agreements of Wibo B.V., acting under the name Wibo Lighting.

Article 1 – Definitions

In these general terms and conditions, the following is understood to mean:

Wibo Lighting/we/us: Wibo B.V. , trading under the name Wibo Lighting, the company that offers and sells products remotely to customers.
Customer/you: the natural person or legal entity that enters into an agreement with Wibo Lighting.
Consumer: the natural person who does not act for purposes related to a commercial, business, craft or professional activity.
Business customer: a customer acting in the exercise of a profession or business.
Dealer: a business customer who has been accepted by Wibo Lighting as an official dealer and can order products in that capacity.
Agreement: the agreement between Wibo Lighting and the customer for the purchase of products.
Products: all items offered by Wibo Lighting, including LED lighting, accessories and related products.
Right of withdrawal: the statutory right of a consumer to dissolve the agreement without giving reasons within the cooling-off period.
Cooling-off period: the period within which a consumer can exercise the right of withdrawal.
Model withdrawal form: the form with which a consumer can indicate that they wish to withdraw from the agreement.

Article 3 – Applicability

3.1 These general terms and conditions apply to every offer from Wibo Lighting and to every agreement concluded between Wibo Lighting and the customer.

3.2 Before an agreement is concluded, these general terms and conditions are made available to the customer in a clear manner.

3.3 The customer must be able to save, download or print the general terms and conditions.

3.4 Deviations from these general terms and conditions are only valid when confirmed in writing by Wibo Lighting.

3.5 If additional product, dealer, or promotional terms and conditions apply alongside these general terms and conditions, these shall be clearly stated. In the event of a conflict, the provision most favorable to the consumer shall apply to the consumer.

Article 4 – Business sales and dealership

4.1 Wibo Lighting focuses primarily on business applications and professional users.

4.2 Business customers can only order products after they have been accepted by Wibo Lighting as an official dealer.

4.3 Wibo Lighting reserves the right to refuse an application for dealership without giving reasons.

4.4 A dealer is responsible for the accuracy of the provided company details, including company name, address, Chamber of Commerce number, VAT number, and contact details.

4.5 Wibo Lighting may impose additional conditions on the dealership, including minimum purchase quantities, payment terms, use of the brand, sales channels, and compliance with product information.

4.6 The dealership does not grant the dealer an exclusive right of sale, unless otherwise agreed in writing.

Article 5 – The offer

5.1 Wibo Lighting describes the offered products as completely and accurately as possible.

5.2 Images, specifications, colors, dimensions, light output, color temperatures, technical data, and product information are displayed as truthfully as possible.

5.3 Minor deviations in color, finish, dimensions, or specifications may occur and do not entitle the customer to dissolution or compensation, unless the product deviates substantially from what was agreed.

5.4 If an offer is valid temporarily or applies subject to specific conditions, this will be clearly stated in the offer.

5.5 Wibo Lighting is not bound by obvious errors or mistakes in the offer, such as clear price, type, stock, or typographical errors.

Article 6 – Formation of the agreement

6.1 The agreement is concluded as soon as the customer accepts the offer from Wibo Lighting and fulfills the conditions set out therein.

6.2 Wibo Lighting may refuse orders or impose additional conditions on the execution of an order.

6.3 Upon receipt of the order, Wibo Lighting will confirm the order as soon as possible by email.

6.4 Wibo Lighting takes appropriate technical and organizational measures to secure electronic orders, payments, and personal data.

6.5 At the latest upon delivery, the customer receives the relevant information regarding the order, including the contact details of Wibo Lighting, product information, warranty information, payment and delivery information and, where applicable, information regarding the right of withdrawal.

Article 7 – Prices

7.1 All prices are stated in euros.

7.2 Unless expressly stated otherwise, prices are exclusive of VAT for business customers and inclusive of VAT for consumers.

7.3 Any shipping costs, administrative costs, installation costs, or other additional costs will be clearly stated before the customer places the order.

7.4 Wibo Lighting reserves the right to change prices. For orders that have already been confirmed, the price agreed upon at the time of ordering applies, unless there is an obvious error.

7.5 Price changes resulting from changes in VAT rates, raw material prices, transport costs, import duties or other levies may be implemented to the extent permitted by law.

Article 8 – Payment

8.1 The customer pays for the order via the payment methods offered by Wibo Lighting or as agreed in writing.

8.2 Wibo Lighting may require prepayment.

8.3 Different payment terms may apply to business customers, provided this is agreed in writing.

8.4 The customer is obliged to report inaccuracies in payment details to Wibo Lighting immediately.

8.5 If the Customer fails to pay on time, the Customer shall be in default by operation of law, unless a notice of default is required by law.

8.6 In the event of late payment, Wibo Lighting may charge statutory interest, extrajudicial collection costs, and reasonable administrative costs.

8.7 Consumers will first receive a payment reminder with a period of 14 days to make the payment before collection costs are charged.

8.8 Wibo Lighting may suspend the delivery of products as long as payment is outstanding.

Article 9 – Delivery

9.1 Wibo Lighting exercises the utmost care in the processing and delivery of orders.

9.2 Delivery takes place at the address provided by the customer when placing the order.

9.3 The stated delivery times are indicative, unless a fixed delivery period has been expressly agreed in writing.

9.4 Wibo Lighting strives to deliver orders as soon as possible.

9.5 For consumers, delivery shall take place within 30 days at the latest, unless a different delivery period has been agreed.

9.6 If an order is delayed or cannot be delivered in full, Wibo Lighting will inform the customer as soon as possible.

9.7 Exceeding an indicative delivery time does not entitle the business customer to compensation or dissolution, unless otherwise agreed in writing.

9.8 The risk of damage to or loss of the product passes to consumers as soon as the product has been delivered to the consumer or a third party designated by the consumer.

9.9 For business customers, the risk passes at the moment the products are handed over by Wibo Lighting to the carrier, unless otherwise agreed in writing.

Article 10 – Right of withdrawal for consumers

10.1 This article applies exclusively to consumers.

10.2 The consumer has the right to withdraw from a distance contract within 14 days after receipt of the product without giving any reason.

10.3 After withdrawal, the consumer has 14 days to return the product.

10.4 When the consumer exercises the right of withdrawal, the consumer will receive the full purchase amount back, including the standard shipping costs for the outbound shipment.

10.5 The costs for returning the product are the responsibility of the consumer, unless Wibo Lighting indicates otherwise.

10.6 The consumer is obliged to handle the product and the packaging with care. The product may only be unpacked or used to the extent necessary to determine the nature, characteristics, and functioning of the product.

10.7 If the product is damaged or has been used beyond what was necessary to assess it, Wibo Lighting may charge for depreciation.

10.8 The product must be returned, if reasonably possible, complete, undamaged, with all supplied accessories and in the original packaging.

Article 11 – Exercise of the right of withdrawal

11.1 The consumer may exercise the right of withdrawal by unambiguously informing Wibo Lighting within the cooling-off period, for example by e-mail or via the model withdrawal form.

11.2 The consumer returns the product within 14 days after the notification of withdrawal to:

11.3 The risk and burden of proof for timely and correct returns lie with the consumer. Wibo Lighting therefore advises using a shipping method with tracking. & route.

11.4 Merely returning a product without a clear notice of withdrawal is insufficient to withdraw from the agreement.

Article 12 – Refund upon withdrawal

12.1 Wibo Lighting will confirm receipt of a notice of withdrawal as soon as possible by email.

12.2 Wibo Lighting will refund the amount paid by the consumer, including any standard shipping costs for the outbound shipment, within 14 days of the notification of withdrawal.

12.3 Wibo Lighting may wait with the refund until the product has been received or until the consumer has demonstrated that the product has been returned.

12.4 Refunds will be made via the same payment method used by the consumer, unless the consumer agrees to a different payment method.

12.5 If the consumer has chosen a more expensive shipping method than the cheapest standard delivery, Wibo Lighting is not required to refund the additional costs thereof.

Article 13 – Exclusion of the right of withdrawal

13.1 Wibo Lighting may exclude the right of withdrawal for products for which this is legally permitted, provided that this is clearly stated prior to purchase.

13.2 The right of withdrawal may be excluded for, among other things:

a. products manufactured according to customer specifications;
b. products that are clearly personal in nature;
c. products which, after delivery, are irrevocably mixed with other products due to their nature;
d. sealed products which, for reasons of health protection or hygiene, are not suitable for return and whose seal has been broken;
e. products that spoil quickly or have a limited shelf life;
f. other products for which exclusion of the right of withdrawal is legally permitted.

13.3 Business customers do not have a statutory right of withdrawal, unless otherwise agreed in writing.

Article 14 – Returns for business customers

14.1 Business returns will only be accepted after prior written permission from Wibo Lighting.

14.2 Products that have been specially ordered, made to measure, have been used, are damaged, or are no longer in their original packaging may be refused.

14.3 Any return costs for business customers shall be borne by the business customer, unless otherwise agreed in writing.

14.4 Wibo Lighting may charge administration costs, repackaging costs, or depreciation for business returns.

Article 15 – Warranty and conformity

15.1 Wibo Lighting guarantees that the products comply with the agreement, the stated specifications, and the reasonable requirements of soundness and usability.

15.2 Consumers are entitled to the statutory warranty. This means that a product must do what the consumer may reasonably expect of it.

15.3 For business customers, the warranty applies as stated with the product, in the quotation, on the invoice, or in additional warranty conditions.

15.4 Any manufacturer's warranty, commercial warranty, or additional warranty does not affect the statutory rights of consumers.

15.5 The warranty does not cover damage caused by:
incorrect installation, misuse, normal wear and tear, insufficient maintenance, self-modifications, use contrary to instructions, external influences, moisture, fire, fall or impact damage, voltage surges, lightning strikes or application in an unsuitable environment.

15.6 The customer must report a defect to Wibo Lighting as soon as possible after discovery.

15.7 In the event of a justified warranty claim, Wibo Lighting may choose between repair, replacement, or credit.

Article 16 – Installation and application

16.1 Wibo Lighting products must be installed and used in accordance with the supplied instructions, technical specifications, and applicable safety regulations.

16.2 Electrical products shall, if required, be connected by a qualified professional or certified installer.

16.3 Wibo Lighting is not liable for damage resulting from incorrect installation, misuse, incorrect connection, or application outside the specified specifications.

16.4 The customer is responsible for assessing whether a product is suitable for the intended application, unless Wibo Lighting has provided explicit written advice regarding this.

Article 17 – Complaints

17.1 Complaints regarding products, delivery, or services must be reported to Wibo Lighting fully and clearly within a reasonable period after discovery.

17.2 A report within 7 days of discovery shall in any case be considered timely.

17.3 Wibo Lighting responds to complaints within 14 days of receipt.

17.4 If a complaint requires more time, the customer will receive an acknowledgment of receipt within 14 days with an indication of when a substantive response will follow.

17.5 If a complaint is justified, Wibo Lighting will, at its own discretion, repair, replace, credit the product, or offer another appropriate solution.

17.6 A complaint does not suspend the customer's payment obligation, unless Wibo Lighting confirms otherwise in writing.

Article 18 – Liability

18.1 Wibo Lighting is not liable for damage resulting from the customer providing incorrect or incomplete information.

18.2 Wibo Lighting is not liable for damage caused by incorrect use, incorrect assembly, incorrect installation, or unsuitable application of products.

18.3 Wibo Lighting is not liable for indirect damage, consequential damage, business damage, loss of turnover, loss of profit, lost savings, or damage due to business interruption, to the extent permitted by law.

18.4 To the extent permitted by law, the liability of Wibo Lighting is limited to the invoice amount of the product to which the liability relates.

18.5 This limitation does not apply in cases of intent, willful recklessness, or where limitation of liability is not permitted by law.

Article 19 – Retention of title

19.1 All delivered products remain the property of Wibo Lighting until the customer has fully paid all amounts due.

19.2 The Customer may not pledge or otherwise encumber products subject to retention of title.

19.3 Business customers may resell products in the normal course of their business, unless Wibo Lighting has indicated otherwise in writing.

Article 20 – Force Majeure

20.1 Wibo Lighting is not obliged to fulfill any obligation if it is prevented from doing so by force majeure.

20.2 Force majeure includes, but is not limited to: disruptions at suppliers or carriers, strikes, fire, extreme weather conditions, government measures, pandemics, import or export restrictions, raw material shortages, power outages, internet outages, and other circumstances over which Wibo Lighting has no reasonable influence.

20.3 If the force majeure situation lasts longer than 30 days, both the Customer and Wibo Lighting may terminate the agreement for the part that has not yet been performed.

Article 21 – Intellectual property and trademark use

21.1 All texts, images, logos, product photos, technical documentation, brand names, and other expressions of Wibo Lighting remain the property of Wibo Lighting or its licensors.

21.2. Customers and dealers are not permitted to use, copy, or modify material from Wibo Lighting without prior written permission, unless this is necessary for the sale of Wibo Lighting products within the authorized dealership.

21.3 Dealers may use the name and brand Wibo Lighting exclusively in a manner consistent with the professional image of the brand.

21.4 Wibo Lighting may provide instructions regarding the use of the brand name, logos, product information, and images. The dealer must follow these instructions.

Article 22 – Privacy

22.1 Wibo Lighting processes personal data of customers in accordance with applicable privacy legislation.

22.2 The Wibo Lighting privacy statement specifies which personal data is processed, for what purposes this is done, and what rights the customer has.

22.3 The privacy statement is available via the Wibo Lighting website.

Article 23 – Applicable law and disputes

23.1 Dutch law applies to all offers, orders, and agreements of Wibo Lighting.

23.2 Disputes shall preferably be resolved first by mutual consultation.

23.3 If no solution is reached, disputes shall be submitted to the competent Dutch court.

23.4 For business customers, the court in the district where Wibo Lighting is established has jurisdiction, to the extent permitted by law.

23.5 Consumers always retain the protection of the mandatory legal provisions applicable to them.

Article 24 – Amendment of these general terms and conditions

24.1 Wibo Lighting may amend these general terms and conditions.

24.2 Changes shall only take effect after they have been clearly published.

24.3 For ongoing agreements, amendments may not be applied to the detriment of consumers, unless the consumer consents thereto or the amendment is legally required.
